These Terms of Service ("Terms") govern your access to and use of the services provided by PMsolutionshub, LLC
("PM Solutions," "we," "us," or "our"), including our website at PMsolutionshub.com and our
AI-powered lead management and follow-up platform (collectively, the "Service").
BY ACCESSING OR USING OUR SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS.
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.
1. ACCEPTANCE OF TERMS
By creating an account, accessing our website, or using our Service in any way, you acknowledge that you have read,
understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
We reserve the right to modify these Terms at any time.
We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date.
Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
2. ELIGIBILITY
You must be at least 18 years of age to use our Service.
By using the Service, you represent and warrant that:
• You are at least 18 years old
• You have the legal capacity to enter into a binding contract
• You are not prohibited from using the Service under any applicable laws
• All information you provide is accurate, current, and completeIf you are using the Service on behalf of a business or organization,
you represent that you have the authority to bind that entity to these Terms.
3. DESCRIPTION OF SERVICE
PM Solutions provides an AI-powered lead management and follow-up system designed for roofing contractors. Our Service includes:
• Automated lead intake via email parsing and webhook integration
• AI-powered lead qualification via SMS, email, and voice calls
• Automated appointment scheduling
• Client dashboard for tracking leads and appointments (powered by Airtable and Softr)
• Website chatbot integration (Tidio)
• Storm tracking tools to identify business opportunitiesWe reserve the right to modify, suspend, or discontinue any
aspect of the Service at any time, with or without notice, for any reason.
4. ACCOUNT REGISTRATION AND SECURITY
4.1 Account Creation
To access certain features of the Service, you must create an account. You agree to:
• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate and current
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorized access or security breach
4.2 Account Responsibility
You are responsible for all activity that occurs under your account. You agree not to:
• Share your account credentials with others
• Use another user's account without permission
• Create multiple accounts for fraudulent purposes
PM Solutions is not liable for any loss or damage arising from your failure to protect your account credentials.
5. FEES AND PAYMENT
5.1 Pricing Structure
PM Solutions operates on a monthly subscription basis with the following fee structure:
• Monthly Subscription Fee: As specified in your service agreement or pricing plan
• One-Time Setup Fee: Charged in your first month to cover account configuration and onboarding
5.2 Billing
• Monthly fees are billed in advance on the first day of each billing cycle
• The setup fee is billed upon account activation
• All fees are non-refundable unless otherwise stated in these Terms
• You authorize PM Solutions to charge your designated payment method for all fees
5.3 Price Changes
We reserve the right to change our pricing at any time. We will provide at least 30 days' advance notice of any price increases.
If you do not agree to the new pricing, you may cancel your account as described in Section 6.
5.4 Late Payments
If payment is not received by the due date, we may:
• Suspend or terminate your access to the Service
• Charge late fees as permitted by law
• Pursue collection through third-party agencies or legal action
5.5 Taxes
All fees are exclusive of applicable federal, state, and local taxes. You are responsible for paying
all taxes associated with your use of the Service.
6. CANCELLATION AND REFUNDS
6.1 Your Right to Cancel
You may cancel your subscription at any time, for any reason. To cancel:

• Provide at least 24 hours' notice before your next billing cycle
6.2 Effect of Cancellation
• Your access to the Service will continue until the end of your current billing period
• You will not be charged for subsequent billing periods after cancellation
• You will retain access to your data for 30 days after cancellation
• After 30 days, your data may be permanently deleted
6.3 Refund Policy
All fees are non-refundable, including:
• Monthly subscription fees
• One-time setup fees
• Partial month fees (cancellations are effective at the end of the billing period)Exception: We may provide refunds
at our sole discretion in cases of billing errors or Service outages that substantially impair functionality for an extended period.
6.4 Our Right to Terminate
We reserve the right to suspend or terminate your account at any time if:
• You violate these Terms
• Your payment method fails or is declined
• You engage in fraudulent, abusive, or illegal activity
• We discontinue the Service
7. CONSENT TO COMMUNICATIONS
7.1 SMS and Voice Consent
By providing your phone number to PM Solutions, you expressly consent to receive:
• Automated text messages (SMS/MMS)
• Pre-recorded voice calls
• Artificial intelligence-powered voice calls
• Live agent callsThese communications may include:
• Lead qualification questions
• Appointment confirmations and reminders
• Service updates and notifications
• Marketing and promotional messages (if you opt in)Consent is not a condition of purchase.
You may opt out at any time by replying STOP to any text message or contacting us at support@pmsolutionshub.com.
7.2 Message Frequency and Rates
• Message frequency varies based on your activity and lead status
• You may receive up to 5 messages per week during active lead engagement
• Standard message and data rates from your carrier may apply
• PM Solutions is not responsible for charges from your mobile carrier
7.3 Email Communications
By creating an account, you consent to receive transactional emails related to your account and use of the Service.
You may opt out of marketing emails by clicking the "unsubscribe" link in any email or contacting us.
7.4 TCPA and CAN-SPAM Compliance
PM Solutions complies with the Telephone Consumer Protection Act (TCPA) and the CAN-SPAM Act. We:
• Only contact users who have provided express consent
• Provide clear opt-out mechanisms in all communications
• Honor opt-out requests promptly
• Do not call numbers on the National Do Not Call Registry for marketing purposes without prior written consent
8. ACCEPTABLE USE POLICY
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:
8.1 Prohibited Activities
• Violate any local, state, federal, or international law
• Infringe on the intellectual property rights of others
• Transmit harmful code, viruses, or malware
• Engage in fraudulent, deceptive, or misleading practices
• Harass, abuse, threaten, or intimidate others
• Use automated systems (bots, scrapers) to access the Service without permission
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Resell or redistribute the Service without authorization
• Interfere with or disrupt the Service or servers
8.2 Compliance with Telemarketing Laws
If you use our Service to contact leads, you are responsible for:
• Obtaining proper consent from leads before contacting them
• Complying with the National Do Not Call Registry
• Honoring opt-out requests immediately
• Ensuring your communications comply with TCPA and state telemarketing lawsPM Solutions is not
responsible for your use of leads or compliance with telemarketing laws.
9. INTELLECTUAL PROPERTY
9.1 Ownership
PM Solutions and its licensors own all rights, title, and interest in and to the Service, including:
• Software, code, and technology
• Trademarks, logos, and branding
• Content, design, and user interface
• AI models and algorithmsThese Terms do not grant you any ownership rights in the Service.
9.2 License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable,
revocable license to access and use the Service for your business purposes.
9.3 Your Content
You retain ownership of any content, data, or information you submit to the Service ("Your Content"). By submitting Your Content,
you grant PM Solutions a worldwide, royalty-free license to:
• Use, store, and process Your Content to provide the Service
• Analyze aggregated, anonymized data for product improvementYou represent and warrant that
you have all necessary rights to submit Your Content and that it does not violate any laws or third-party rights.
10. DATA PRIVACY AND SECURITY
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use,
and protect your personal information. Please review our Privacy Policy carefully.Key Points:
• Your data is stored securely in our Google Workspace environment
• We do not sell or share your data with third parties (except as required by law or with your consent)
• We use industry-standard security measures to protect your data
• You have the right to access, correct, or delete your data
11. DISCLAIMERS AND LIMITATIONS OF LIABILITY
PLEASE READ THIS SECTION CAREFULLY. IT LIMITS PM SOLUTIONS' LIABILITY TO YOU.
11.1 No Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND,
EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• That the Service will be uninterrupted, error-free, or secure
• That results obtained from the Service will be accurate or reliable
• That the AI will qualify leads with 100% accuracy
11.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PM SOLUTIONS SHALL NOT BE LIABLE FOR:
• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your use or inability to use the Service
• Damages arising from third-party services (Twilio, Google Workspace, etc.)
IN NO EVENT SHALL PM SOLUTIONS' TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO
PM SOLUTIONS IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
11.3 Exceptions
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases,
our liability will be limited to the maximum extent permitted by law.
12. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless PM Solutions, its affiliates,
officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from:
• Your use of the Service
• Your violation of these Terms
• Your violation of any law or third-party rights
• Your Content or communications sent through the Service
13. THIRD-PARTY SERVICES
The Service may integrate with or rely on third-party services, including:
• Twilio (SMS and voice communications)
• Google Workspace (data storage)
• Airtable and Softr (client dashboards)
• Tidio (chatbot)Your use of these third-party services may be subject to their own terms and policies.
PM Solutions is not responsible for the availability, accuracy, or functionality of third-party services.
14. DISPUTE RESOLUTION AND GOVERNING LAW
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania,
without regard to its conflict of law principles.
14.2 Venue
Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or
federal courts located in Berks County, Pennsylvania. You consent to the jurisdiction of such courts and waive any objection to venue.
14.3 Informal Resolution
Before filing a claim, you agree to contact us at support@pmsolutionshub.com to attempt to resolve the dispute informally.
We will work in good faith to resolve disputes amicably.
14.4 Class Action Waiver
You agree to resolve disputes on an individual basis only and waive your right to bring or participate in any class action,
collective action, or representative proceeding against PM Solutions.
15. MISCELLANEOUS
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and PM Solutions regarding the
Service and supersede all prior agreements.
15.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
15.3 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it in the future.
15.4 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
15.5 Force Majeure
PM Solutions shall not be liable for delays or failures in performance resulting from causes beyond our reasonable control,
including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or third-party service outages.
15.6 SurvivalProvisions that by their nature should survive termination (including indemnification,
limitations of liability, and dispute resolution) shall survive termination of these Terms.

17. ACKNOWLEDGMENT
